Terms and Conditions

By installing and using the mobile application, website www.stargaze.com or stargaze apps (“App”) or and any of the services, features, content or applications of Stargaze Media Labs Private Limited (“Stargaze”, “Company" or “Our,” “We,” or “Us”), offered through its application (collectively referred to as “Services”) you as a user, including users who are contributors of content, agree to these terms of use read together with various policies including but not limited to the Cancellation & Refund Policy and Privacy Policy as available on the app.

To provide our Services to you, we need to obtain your agreement to our Terms of Service (“Terms”). These Terms govern your access to and use of our Services, including our various websites, SMS, APIs, email notifications, applications, buttons, widgets, ads, commerce services and any information, text, links, graphics, photos, audio, videos, or other materials or arrangements of materials uploaded, downloaded, or appearing on the Services (collectively referred to as “Content”). By using the Services, you agree to be bound by these Terms.

Who can use our Services

You may use the Services only if you agree to form a binding contract with Stargaze and are not a person barred from receiving services under the laws of the applicable jurisdiction. In any case, you must be at least 18 years old to use the Services, as applicable under Indian law.

Registration

You must register for our Services using accurate information, provide your current mobile phone number, and, if you change it, or use change number feature then you need to validate using the OTP. You agree to receive text messages and phone calls (from us or our third-party providers) with codes to register for our Services. For Stars to register with the platform, they have to express their interest in joining Stargaze. The Company shall create an account on behalf of you and provide the login details for you to access the App.

Services we provide

At Stargaze, our aim is to fulfil a fan’s wish to meet their favourite stars and speak to them virtually. We are focused on providing a virtual face-to-face interaction platform between the stars and their fans to bring them together. Through an interactive AI mobile app, it provides selected users an opportunity to have direct virtual one-on-one conversations with their favourite celebrities and influencers from cinema, telly, sports, and other categories. Fans can react to the content posted by the Stars. Fans can like, share them, or even comment on these pieces of content.

How the App works

Once a fan registers with Stargaze, they get access to the content posted by the Stars exclusively on our platform. By following the Stars, fans can receive updates on the events that Stars are hosting for their fans. There are different kinds of events Stars can organize – it can be an audio or video event, or a promotional video, etc. Stars can also choose to interact with their fans one-on-one. Fans can access their “Events” tab on their App to be well informed of the upcoming events Stars are organizing on our platform.

The earnings of the Star for hosting an event can be accessed on the “Event History” tab in the App right after the event has concluded. The App will also show you the earnings which are pending from Our end and the disputed ones. Pending amounts can be requested to clear by a click from you.

Attending an event

Only users who have registered with Stargaze can attend an event hosted by Stars. Once a Star create an event, fans who are following that Star will be able to access such events on their notifications tab. Fans can then join the events hosted by the Stars on our platform by expressing their interest. These events are chargeable. We provide coins to join these events since they are exclusive to the Stargaze users. We offer free coins for new users which they can use to join the first event, however, after your free coins are consumed, you have to purchase new ones from the purchase button. In light of unforeseen circumstances, such as cancellation of an event you joined, you will be refunded with the coins from Stargaze management.

If you win in these fan events, then you have a fair chance to talk to your favourite star on a video or audio call within a specific time frame. To increase your chance of talking to your favourite star, have to redeem more coins after you join a star hosted event and these coins can be purchased on the purchase tab. When a fan wins an event, we notify them on the App about the same.

Ways to obtain coins by fans

We provide different coin packages for fans to purchase on our App, which can be spent to redeem on the events. You need to choose one of the different coin packages and then offer your card details or any other payment details for those using android app and for iPhone users we use apple subscription to finish the transaction.

Fans can also earn free coins by using the app daily, interacting with the content in the app like Liking, Commenting and sharing the content and also watching a video or inviting friends or sharing on other social networks or follow Stargaze on the other social media platforms. Fans can claim coins under the home events tab and choose the “Claim coins” option.

Subscription

Fans have an option to choose subscription model. By switching to subscription model, fans can have access to exclusive content posted by the Stars, which are available only to subscribed users. You get notifications on special star events/shows with whom who have been subscribed to. You also will be able to see exclusive feeds of the subscribed celebrity on your feed section, Direct Message, and comment on the posts of the subscribed celebrity. To subscribe to the particular celebrity account, fans can select one of the celebrities and make payment for it.

Payments and Subscription

Based on the minimum number of coins/points (as mentioned in the App) collected and purchased in the user’s account, the user can redeem the same either against Products and/or Services offered on or through the App which are offered by Us. The said coins can also be used to avail various discount offers that may be made available on or through the App, by Us. If there are any specific or additional terms and conditions attached to any such offered products and/or services, then the same will also be applicable and shall form an integral part of these App’s Terms and Conditions. In addition to purchasing of coins the user can subscribe to any celebrity by paying the subscription fee which auto renews every month for that particular celebrity being subscribed. When a user subscribes to a celebrity then he is entitled to exclusive content of that particular celebrity and also app enables features such as commenting, chances to win the video chat, direct messaging the celebrity being subscribed. The subscription fee varies from celebrity to celebrity based on the number of followers and the quality of content produced by the celebrity in the platform. If your Account is terminated or suspended, you agree you will not receive a refund for any paid service or features you have already been charged for.

All the active subscriptions can be viewed under the users’ profile and the user can cancel the subscription anytime by going to the subscriptions section within the user profile.

Payment will be charged to iTunes Account at confirmation of purchase. Subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period. Account will be charged for renewal within 24-hours prior to the end of the current period. You can manage or turn off auto-renew in your Account settings at any time after purchase. No cancellation of the current subscription is allowed during the active period.

Stargaze has no liability to you, nor any obligation to provide a refund to you, in connection with internet or other service outages or failures that are caused by the actions of government authorities, other third parties, or events beyond our control.

Privacy

Our Privacy Policy describes how we handle the information you provide to us when you use our Services. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing and use by Stargaze.

Intellectual property rights

The App is proprietary to Us and constitutes Our intellectual property. Any intellectual property relating to any products and/or services offered on or through the App may be proprietary to Us or Our partners and shall constitute Ours or Our partners’ intellectual property as the case may be.

Some content that you share or upload, such as photos or videos, may be protected by intellectual property laws.

You own the intellectual property rights (things like copyright or trademarks) in any such content that you create and share on Stargaze. Nothing in these Terms takes away the rights you have to your own content. You are free to share your content with anyone else, wherever you want.

However, to provide our services we need you to give us some legal permissions (known as a ‘license’) to use this content. This is solely for the purposes of providing and improving our Services to you and others.

Specifically, when you share, post, or upload content that is covered by intellectual property rights on or in connection with our app, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content (consistent with your privacy and application settings). This means, for example, that if you share a photo on Stargaze, you give us permission to store, copy, and share it with others (again, consistent with your settings) such as service providers that support our service. This license will end when your content is deleted from our systems.

You give us permission to use your name and profile picture and information about actions you have taken on Stargaze next to or in connection with ads, offers, and other sponsored content that we display on our app, without any compensation to you.

Community Standards

We have zero-tolerance for any content or comments or posts that are offensive and illegal in nature on our platform. We hold the rights to restrict the reach of or take down such content or ban your account, depending on the content that is posted. We do not allow following types of content or comments on our platform:

  • contains language or imagery which could be deemed offensive or is likely to harass, upset, embarrass, alarm or annoy any other person (including for example and without limitation, language that could be deemed discriminatory towards an individual’s race, colour, ethnicity, national origin, religion, disability, sexual orientation, gender expression, gender identity or physical appearance);
  • is obscene, pornographic, violent or otherwise may offend human dignity (including for example and without limitation, language that could be deemed discriminatory towards an individual’s race, colour, ethnicity, national origin, religion, disability, sexual orientation, gender expression, gender identity or physical appearance);
  • is abusive, insulting or threatening, discriminatory or which promotes or encourages racism, sexism, hatred or bigotry (including for example and without limitation, language that could be deemed discriminatory towards an individual’s race, colour, ethnicity, national origin, religion, disability, sexual orientation, gender expression, gender identity or physical appearance);
  • encourages any illegal activity including, without limitation, terrorism, inciting racial hatred or the submission of which in itself constitutes committing a criminal offence;
  • is defamatory or libellous;
  • relates to commercial activities (including, without limitation, sales, competitions and advertising, links to other websites or premium line telephone numbers);
  • involves the transmission of “junk” mail or “spam”;
  • contains any spyware, adware, viruses, corrupt files, worm programmes or other malicious code designed to interrupt, damage or limit the functionality of or disrupt any software, hardware, telecommunications, networks, servers or other equipment, Trojan horse or any other material designed to damage, interfere with, wrongly intercept or expropriate any data or personal information whether from Bumble or otherwise;
  • itself, or the posting of which, infringes any third party’s rights (including, without limitation, intellectual property rights and privacy rights);
  • shows another person which was created or distributed without that person’s consent;
  • is harmful to minors; or
  • impersonates any other person, including falsely stating your name.

Updating terms

We work constantly to improve our services and develop new features to make our app better for you and our community. As a result, we may need to update these Terms from time to time to accurately reflect our services and practices. We will only make any changes if the provisions are no longer appropriate or if they are incomplete, and only if the changes are reasonable and take due account of your interests.

We will notify you (for example, through in-app notification) at least 30 days before we make changes to these Terms and give you an opportunity to review them before they go into effect, unless changes are required by law. Once any updated Terms are in effect, you will be bound by them if you continue to use our Products.

We hope that you will continue using our Products, but if you do not agree to our updated Terms and no longer want to be a part of the Stargaze, you can delete your account at any time.

Account suspension or termination

We want Stargaze to be a place where people feel welcome and safe to express themselves and share their thoughts and ideas.

If we determine that you have clearly, seriously, or repeatedly breached our Terms or Policies, including our Community Standards, we may suspend or permanently disable access to your account. We may also suspend or disable your account if you repeatedly infringe other people’s intellectual property rights or where we are required to do so for legal reasons.

Where we take such action, we’ll let you know and explain any options you have to request a review, unless doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems or products; or where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons.

Limits on liability

We work hard to provide the best Products we can and to specify clear guidelines for everyone who uses them. Our Products, however, are provided “as is,” and we make no guarantees that they always will be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections. To the extent permitted by law, we also disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline) or any content they share (including offensive, inappropriate, obscene, unlawful, and other objectionable content).

We cannot predict when issues might arise with our app. Accordingly, our liability shall be limited to the fullest extent permitted by applicable law, and under no circumstance will we be liable to you for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, even if we have been advised of the possibility of such damages.

Indemnity

You shall indemnify and hold harmless Stargaze (including its affiliates, subsidiaries, group companies), its directors, advisors, employees, agents, partners, suppliers or content providers, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party or penalty imposed due to or arising out of your breach of any of these Terms of Use, Privacy Policy and other policies, or your violation of any law, rules or regulations or the rights of a third party. Company reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in asserting any available defences.

Disputes

We try to provide clear rules so that we can limit or hopefully avoid disputes between you and us. If a dispute does arise, however, it's useful to know up front where it can be resolved and what laws will apply.

Any claim, dispute or difference relating to or arising out of this Agreement shall be referred to the arbitration, of a sole arbitrator. The arbitration shall be subject to the Arbitration and Conciliation Act, 1996 as may be amended from time to time. The seat and venue of the arbitration shall be Hyderabad, India and the courts of Hyderabad shall have the exclusive jurisdiction to adjudicate upon any claims arising out of such arbitration.
